8 TERMS AND CONDITIONS OF PARTICIPATION GENERAL PINTA Miami 2018 is a prject f PINTA ART LLC. These Cnditins f Participatin gvern the Exhibitr s participatin in PINTA Miami 2018 ( the Shw ). PINTA ART LLC reserves the right, at any time, withut ntice, t make any additinal cnditins r rules fr participatin. PINTA ART LLC reserves the right t change the dates f the fair. The Exhibitr agrees t be bund by the cnditins set frth belw and by any subsequent cnditins that PINTA ART LLC may institute in cnnectin with the Shw. Submissin f an applicatin t participate in the Shw cnstitutes the Exhibitr s acceptance f the cnditins set frth belw and f any subsequent cnditins related t the Shw. Exhibitr shall indemnify PINTA ART LLC and its principals, agents, and emplyees against any and all damages, csts and expenses, including attrneys fees, in cnnectin with any claim whatsever, including cpyright infringement claims, fr which PINTA ART LLC may be sued r held liable relating t wrk submitted by r thrugh Exhibitr. Acceptance f the applicatin will be sent in writing prmptly after acceptance and n later than August PINTA ART LLC has the right t cancel acceptance f the applicatin at any time, including during the Shw, if the Exhibitr is fund t have prvided any material false, inaccurate, r misleading infrmatin in cnnectin with its applicatin r if the Exhibitr fails t cmply with these Cnditins r any additinal r revised cnditins that PINTA ART LLC s may institute in cnnectin with the Exhibitin. Exhibitrs shall be bliged t use the bth fr the duratin f the shw and keep the bth sufficiently manned at all times. ALLOCATION OF SPACE PINTA ART LLC will allcate Bth space fr the event. Reasnable effrts will be made t accmmdate Exhibitr requests cncerning bth space. Hwever, PINTA ART LLC may, at its sle discretin, change the lcatin f allcated space, as well as alter the shape f the bth if in PINTA ART LLC s sle judgment, circumstances demand it. PINTA ART LLC reserves the right t rearrange the layut f unccupied areas and alter the entrances and exits t and frm the exhibitin space, halls and aisles as it deems necessary r advisable. SETUP, DISMANTLING, AND DECOR The Exhibitr shall begin and cmplete all set-ups and dismantling nly during the specified hurs. T maintain the cllectively desired verall appearance f the event, n additinal lighting, furniture, r ther equipment desired by the Exhibitr shall be used unless apprved in writing in advance by PINTA ART LLC. N additinal walls, strage areas, etc. may be added t the bth withut the prir written cnsent f PINTA ART LLC. BOOTH SHARING N Exhibitr may share, sublet r assign a bth either entirely r partially withut written cnsent f PINTA ART LLC. Decisins n the apprval f shared bths rest slely with PINTA ART LLC. A shared bth will nly be apprved n cnditin that all the applicants applying fr the bth have already been accepted t the Shw. Exhibitrs sharing bths shall be jint and severally liable t PINTA ART LLC. CATALOGUE PINTA ART LLC will publish a catalgue in cnnectin with the fair; participatin in the catalgue by exhibiting galleries is bligatry. Every exhibitr is entitled t tw full pages in the exhibitin catalgue. Exhibitr pages in the catalgue must include at least ne image; text nly pages are nt acceptable. Exhibitrs have the ptin t purchase additinal catalgue pages and/r include multiple images. There is a mandatry prductin charge f $500 fr each additinal page. WITHDRAWAL BY AN EXHIBITOR Any applicant may withdraw his/her applicatin prir t acceptance. Once accepted, any exhibitr may cancel his/her cntract until 5 p.m. Eastern Daylight Time n July 5, Any applicant wh withdraws after acceptance but befre July 5, 2018 shall frfeit his/her initial depsit f 40%, but is nt bligated t pay remaining 60% f the bth rental amunt. After 5 p.m. Eastern Daylight Time n July 5, 2018, n cancellatins are permitted. In such event, the exhibitr shall remain liable fr the full rental and any additinal csts incurred by PINTA ART LLC. INSURANCE AND EXCEPTION FROM LIABILITY Exhibitrs must insure all their prperty and any and all prperty entrusted t them fr display r ther use in cnnectin with the Shw against the risks f fire, theft, burglary, breakage, leakage and water damage, and the risks f transprt t and frm the shw. PINTA ART LLC will nt be liable fr any lss r damage sustained by the Exhibitr in cnnectin with the Shw, r fr the failure f the Exhibitr t btain insurance, r fr the failure f insurance t cver any lss sustained. The Exhibitr hereby agrees t execute prmptly at the request f PINTA ART LLC any additinal dcuments releasing PINTA ART LLC frm such liability as PINTA ART LLC may request prir r subsequent t the Shw. The Exhibitr agrees t indemnify and hld PINTA ART LLC harmless frm and against any claim whatsever fr injury, lss r damage resulting frm any actin r missin f the Exhibitr r its emplyees, agents, r representatives including but nt limited t any prperty damage r persnal injury caused by the Exhibitr, its emplyees, agents, r representatives SECURITY PINTA ART LLC will prvide guards r security services fr the shw and shw areas. Exhibitrs will be required t cmply with any security prcedures requested by PINTA ART LLC r the security service retained by PINTA ART LLC. Exhibitr recgnizes that, by participating in PINTA Miami 2018, it assumes security risks that cannt be eliminated by security services t be prvided by PINTA ART LLC. Security fr individual bths is nt included under this paragraph. PINTA ART LLC des nt secure insurance cverage fr any individual bth. LECTRICAL SERVICES PINTA ART LLC will prvide cmmn area lighting, but shall nt be liable fr any lss r damage due t failure r interruptin f electrical service. Each Exhibitr (including all emplyees, agents, cntractrs r representatives) will strictly adhere t any and all applicable law and any requirements f the municipal and/r venue Miami Building fire, safety and security regulatins. MAINTENANCE Each Exhibitr is respnsible fr the maintenance f its bth and will leave the bth in the same cnditin in which it was fund, reasnable wear and tear expected. PINTA ART LLC reserves the right t treat any vilatin f these and any subsequent cnditins as a material breach f this cntract and t require any Exhibitr t withdraw frm the Exhibitin as a result. The Exhibitr agrees that in the event f such a vilatin, PINTA ART LLC will be entitled t recver damages frm the Exhibitr, including withut limitatin, any lsses sustained by PINTA ART LLC; and PINTA ART LLC shall als be entitled t retain the full bth rental cst and any fees therwise payable by the Exhibitr t PINTA ART LLC under this agreement. This Agreement shall be gverned and cnstrued exclusively in accrdance with the laws f the state f Flrida.
