Please also find included this month the minutes from the Special General Meeting of the KC membership held in November and the new Junior Warrant section that has been introduced. Is your dog a star? The Kennel Club is calling for dog lovers who are competing at Crufts in any activity or discipline to help show the world just how great dogs are. IN THIS ISSUE FOR FEBRUARY DONATIONS 30 ASSURED BREEDER SCHEME KENNEL Every year, to promote Crufts and the many roles that dogs play in society, the Kennel Club press office looks for inspiring dogs and owners with interesting stories that it can communicate to the media, who are often interested in dog-related stories in the run up to Crufts and during the show itself. To give competitors at Crufts the potential opportunity to tell their dog s special story to the wider world, the Kennel Club has set up an online form, which can be filled in by visiting Examples of stories that might be of interest are: Dogs that have changed their owners lives, dogs that have overcome adversity to excel in something, oldest and youngest Crufts competitors, two or more generations of the same family competing at Crufts, a family with a combined 125 years of being involved in dogs (to celebrate 125 years of the show), competitors who found love through their dog The Kennel Club press office will then look for the most suitable stories to promote to various media in the run up to the 125th anniversary show in March. The Secretary, Mrs CR Kisko, read the notice convening the meeting at 12.30pm and the Chairman, Mr SC Luxmoore, chaired the meeting. The Chairman introduced a number of the Kennel Club s key advisers on the proposals who were present to advise Members if required. He explained that electronic voting would be used for all resolutions requiring a vote and introduced an independent observer who would oversee the vote. 2 Item 2 on the agenda was the Chairman s introduction. This included an update on the proposed reintroduction of the bi-annual general meeting, which the Chairman advised would take place, though there was not a need for this to be formally included in the Kennel Club s Articles of Association since provision for an SGM was already in place. An update on the General Committee s recent strategy discussions was provided, with the Chairman advising that a review of the Kennel Club s mission and strategic objectives was currently taking place and that a further update would be given to Members at the 2016 AGM. 3. Item 3 on the agenda was to receive an update on the various working parties requested by the Members at previous meetings. Firstly, the Chairman provided an update on the work of the Membership Group, advising that the results of a survey undertaken by the group had been inconclusive but that the Secretary would be bringing a new proposal which would consider two tiers of membership before the General Committee shortly. If passed by the General Committee, then this would be brought to the Members at the 2016 AGM. The Chairman then invited Mark Cocozza to give an update on the work of the Communications Working Party. Mr Cocozza advised that the group was undertaking a review of the Kennel Club s internal and external communications special general meeting report

34 FEBRUARY kennel club sgm report strategy and had met with the managing directors of the two weekly dog papers as part of this. A stakeholder audit is to be carried out and a further report will be given at the 2016 AGM. Dr John Symonds was invited to give an update on the Governance Working Party. He advised that the group had met a number of times and that a review of the Kennel Club s governance was underway. Among the proposals under consideration was the replacement of the Finance and General Purposes Sub-Committee with recognised business committees, the removal of Trustees, the removal of discretionary proxy voting for the election ballot for directors, the introduction of the right of the Board to co-opt directors where there is a skills gap, amendments to which rules would require Member approval, and the replacement of the term General Committee with Board in the Articles and Rules. Once agreed, the relevant proposals would be brought to the Members at the 2016 AGM. The Chairman then invited Gerald King to give an update on the work of the Registrations and Crossbreeds Working Party. He advised that the group was undertaking a review of the Kennel Club s existing registers and was considering the introduction of a unique register for crossbreed dogs which would be separate from the Kennel Club but would be managed by it. Questions were raised about the definition of a crossbreed and comments on the Kennel Club s promotion of pedigree dogs were addressed. Finally, the Chairman invited Keith Young to give an update on the work of the Dog Show Promotion Working Party. Mr Young advised that among the issues currently being assessed by the group was the potential introduction of further allbreed Championship shows, a review of the Challenge Certificate allocations for 2019, 2020 and 2021, and an investigation into the future direction of Open shows. Future work would include looking into the possibility of Champion classes, and reviews of benching and judging. Questions and comments were addressed on the role of sanction and limited shows, and standards of judging. 4. Item 4 on the agenda was to receive a report from the General Committee on the Clarges Street and Aylesbury properties. The Chairman invited Mike Townsend to address the Members. Mr Townsend advised that the Kennel Club had formally moved into its new freehold building at 10 Clarges Street on Monday 5th October and that the formalities of property transfers, exchanging 1-5 Clarges Street for the new building by Friday 9th October. Practical completion had been achieved on 11th September, just under three weeks late, and had been achieved within budget. He offered thanks to the builders, Laing O Rourke, the Kennel Club s various practical advisors and their teams, the successive Kennel Club Chairmen who had overseen the process, and the staff under the Chief Executive, Rosemary Smart. He then turned to Aylesbury, and advised that the Kennel Club had agreed a site and design for its new office building close to the existing offices. This is to be sold to the Kennel Club freehold and planning permission had been granted on 30th October. Quotations were currently being sought from construction companies with a contract expected to be signed in December 2015 or January 2016, and practical completion expected in December Thanks were offered from the floor to Mr Townsend for chairing the project group, and the Chairman thanked three individual volunteers whose contribution to the move and the SGM had been integral: Rosemary Hall, Valerie Foss and Paul Macbeth. The Members showed their appreciation for all involved. 5. Ahead of item 5, a test was carried out to check that all the handheld voting devices were working correctly. The Chairman then introduced item 5, which was to propose, on the General Committee s behalf, that The capital budget available for the Kennel Club s canine activity strategy be increased up to the figure of 9m noting that this increased figure comes from the monies previously mandated and allocated for the Kennel Club canine activity strategy, the unutilised monies previously mandated and allocated to the Legacy Investment Fund, cash reserves, and the utilisation of investment monies (such as the return of the monies loaned to AHT or realisation from other investments). The Chairman stated that Members had been advised at the 2015 AGM that it was inevitable the capital outlay needed to support the canine activity strategy would exceed the current 4.5 million capital budget agreed by the December 2013 SGM. The time had now arrived and, in order for the General Committee to be in a position to actively negotiate and complete any prospective acquisition, it was necessary to align the previous mandate given and increase the level of financing available. He advised that the Legacy Investment Fund set up in early 2014 had been largely unutilised but that the General Committee remained committed to considering any future applications for funding of legacy projects. However it was sensible to reallocate and utilise the money set aside for the fund. A question was addressed about the justification for the increase. At the conclusion of the discussion, the Chairman put the proposal to a vote. The results of the proxy votes were then taken into account. There was support, both from the floor and the proxy votes, for the proposal, which was formally passed. 6. The Chairman then turned to item 6, which was to propose, on the General Committee s behalf, that the General Committee be given the authority to negotiate and complete the purchase of the Emblehope Estate, Northumberland. He invited Alan Rountree to address the Members. Mr Rountree advised that the process of finding suitable property for Kennel Club activities, which must be freehold, likely to maintain its value over time, and self-sustaining on an ongoing annual basis had been difficult and time consuming. However a suitable property had been found at Emblehope, which would provide excellent facilities for working dog disciplines and relieve the Kennel Club of the burden of finding suitable ground on which to conduct field trials, working trials and bloodhound trials. He advised that the initial cost of the property was 4.5 million, and that after deduction of the tax saving and the income guaranteed for the first year alone the net cost would be about 2.5 million plus stock, fixtures and fittings estimated at 250,000. It was clearly understood by all parties that such an agreement must be reached in time to enable a binding contract to be entered into with Northumberland Estates before March The Chairman then invited questions from the floor, and these were raised and addressed on a range of subjects, including restrictions on the use of the land, its accessibility, stamp duty, the negotiations with Natural England, the viability of the project, potential income streams, and the use of arable land on site. At the conclusion of the discussion, the Chairman put the proposal to a vote. The results of the proxy votes were then taken into account. Item 7 on the agenda was to receive a report from the General Committee on the three further land/site discussions. The Chairman first invited Graham Hill to give a report on Chepstow Racecourse. Mr Hill gave details on the location of the venue and advised that the proposed venue would be similar to the Kennel Club Building at Stoneleigh, with an anticipated usage as a canine activity venue at least 32 weekends and weekdays per year. He advised that the proposed heads of terms had been agreed in principle and would be submitted to the General Committee for their consideration at its next meeting. Questions were addressed on the venue s suitability for obedience competition and gundog training, flooding risks, the number of horse racing weekends per year, and the potential cost of the project. The Chairman then invited Mark Cocozza to report on potential sites at Staffordshire Showground and the Royal Highland Showground. Mr Cocozza advised that a team had been investigating opportunities to enter into partnership agreements with both venues to create multi-purpose canine activity centres based on the Stoneleigh model. The Kennel Club had been negotiating with Staffordshire Showground since June 2014 and with the Royal Highland Centre since January 2015, and was close to negotiating heads of terms on both projects. Questions were addressed on the proximity of Staffordshire Showground to Stoneleigh, and other potential future locations. 8. The Chairman then turned to item 8, which was to receive a presentation on the Kennel Club s work with regard to access for dog walkers. He invited the Kennel Club s access advisor to address the Members. Mr Jenkinson gave a report detailing some of the Kennel Club s achievements over the last twelve years in promoting responsible access for people to walk their dog in the outdoors. 9. The final agenda item saw the Chairman invite Mike Townsend to propose, on behalf of the General Committee, that Kennel Club Rule A(C): Scale of Fees 2. Canine Services 2.1 Registrations be amended to increase the fee for transfers from 15 to 16, in line with the current fee for registrations.
