CALL TO ORDER The meeting was called to order at 8:30 a.m. EST by Mr. Rowbotham, who presided as Chair. AGENDA 2.1 - Consent Agenda Review/Approval Items nominated for the Consent Agenda were reviewed and questions answered. 01-12-16 MOVED BY Mr. Gilmour: "THAT, the Consent Agenda be approved." 2.2 - Regular Agenda Review/Approval The Regular Agenda was reviewed and approved by consensus. 3. CHAIR'S REMARKS/REPORT Mr. Rowbotham offered a brief Chair's report, citing the importance of careful review in preparation of the budget discussion to take place later in the meeting. 4. MINUTES 4.1 - Minutes of the October 4, 2016 Special Board meeting This item was approved as part of the Consent Agenda. 02-12-16 MOVED BY Mr. Gilmour: "THAT, the minutes of the special meeting of the Board of Directors held on October 4, 2016 be adopted as circulated." 5. BUSINESS ARISING FROM PREVIOUS MINUTES Mr. Novak led the meeting through a review and update of business arising from previous minutes. Action: Staff liaisons were asked to add a date to referred items indicating when the Board may expect a report. 6. GIFTS AND DONATIONS A gift of archival dog show catalogues, many of them dating back to the 1930's, was received for the CKC Library/Resource Centre from CKC member and international judge, Joey Natrass. 7. FORMAL PRESENTATIONS TO THE BOARD There were no formal presentations. 8. CORRESPONDENCE AND/OR PETITIONS The following correspondence was received as information: a) Correspondence to and from Brian & Clarice Hobson re: 50 Year Presentation. b) Correspondence to Ian Allan and Jean Berguijs re: Their Presentation at the September meeting of the Board of Directors on the Subject of Cropping and Docking. c) Correspondence to Marie-France Prayal, President, Canine Federation of Canada re: The Four Breeds Recognized by the CFC in the CKC's Special Referendum. d) Correspondence re: Silver Labrador Retrievers. e) Correspondence from Laurie Savoie re: The IT4YOU Project. f) Correspondence re: Lower Mainland Dog Fanciers' Priority Dates. g) Correspondence re: Breed Specific Legislation in Québec. h) Correspondence re: Breed Specific Legislation in Ontario. i) Letter to Montréal City Councillor, Anie Samson re: Breed Specific Legislation. Received as information 9. STRATEGIC PLAN UPDATE Mr. Laventhall-Wolfish gave an update on the Strategic Planning meeting held on December 2, 2016. He remarked that discussion was mostly around Listed and Miscellaneous Breed, the registration process and the proposal for complimentary membership for new puppy owners. A more significant report is expected to be delivered to the March Board meeting. Received as information 10. EXECUTIVE DIRECTOR'S REPORT 10.1 - Executive Director's Report Mr. Novak delivered the Executive Director's report. It included success of the new Chase Ability Program, the strong advocacy work untaken this year by the Club and committees and the opportunity to introduce a Board self-assessment tool in preparation for a new Board in 2018. The presentation ended on a high note with the announcement that based on a preliminary report by the Election Commission governing November s Special Referendum, all the proposed By-law amendments passed thanks to the many members who took the time to Minutes of the December 3 & 4, 2016 Meeting of the Board of Directors 2

engage and vote. The meeting was reminded that there are still steps to be taken before the Listed Breeds that passed the vote can be submitted to Agriculture and Agri-Food Canada for approval and we are able to bring them into the CKC Registry. Received as information Action: It was noted that there are no Chase Ability events in Maritimes because they can only be done by recognized Lure Coursing Clubs. This is a drawback of the Program for other clubs who may want to run the event. Ms. Weiss will put this on the agenda of the next Lure Coursing Council meeting. Mrs. Bahorie will send Directors a list of life members in their Zone with a request to purge any that they know are deceased. 13. SELECT COMMITTEES ERP Steering Committee (IT4YOU) 13.4 - IT4YOU Report Mr. McAllister gave a progress report on the activity, the schedule, opportunities and risks of the IT4YOU Project. At the end of the discussion, the Chair commended the work the Committee is doing to move this project along. Received as information Pause from 11:45 a.m. to 12:25 p.m. 12. STANDING COMMITTEES & COUNCILS Beagle & Basset Hound Field Trial Council 12.1 - Amendment to the Policy and Procedures Manual, Chapter VI - Shows & Trials, Section O, 3 - Field Trials & Tests (Electronic Tracking Device) 03-12-16 MOVED BY Mr. Oslach: "THAT, the Policy & Procedures Manual, Chapter VI, Section O, 3 be amended to read as follows: VI. SHOWS & TRIALS O Field Trials & Tests 3. Electronic Tracking Device & Collar ADD NEW a) Electronic Tracking Device (1) When judging at a Beagle Field Trial, judges shall not use, or offer for use, any form of technology that allows them to track the progress or location of a hound, or hounds, entered in the trial. b) Electronic Tracking Collars (1) At the discretion of the owner or handler GPS based or other types of Tracking/Training systems may be used and collars may be worn on hounds during the running of CKC licensed (Large Pack, Small Pack or Brace) Beagle Field Trial under the following conditions: (i) The collar is well fitted with no hanging parts or attachments other than antennas and tags for identification purposes, Minutes of the December 3 & 4, 2016 Meeting of the Board of Directors 3

(ii) The collar surface against the dog s neck shall be flat with no (stimulation) prongs or protrusions inserted or attached, (iii) Handheld devicses may be left in the possession of the owner or handler of a hound or hounds during the running of the trial and may be left in the on position. (2) In the case where Tracking/Training handheld devises and collar systems include a toning function, the toning function shall only be used under the following conditions: (i) When the Judges have called the field trial as being over. (ii) In the case of a general pickup of all hounds during the running of a trial where judgement has not been completed, the toning function can be used. (iii) In the event that the owner(s) or handler(s) of a hound(s) has/have reason to believe that their hound(s) has/have become substantially (not within hearing distance) separated from the running pack or group of hounds under judgement for any reason, including running off-game, said owner(s) or handler(s) shall seek permission of the Gallery Marshall to collect their hounds and if necessary to use the tone function during the pickup process. (a) Before granting permission to collect the hounds and use the tone function the Gallery Marshall shall, in turn, consult with at least one of the presiding Judges to confirm that the hound(s) in question are not in the pack under judgement. (3) In the event that an owner(s) or handler(s) contravenes this policy Judges may, at their discretion, require that the hound or hounds owned and/or handled by said persons be disqualified and removed from the trial." Ms. Bennett accepted the gavel for the following discussion Conformation Council 12.2 - Discussion on Proposed Amendment to the Conformation Show Rules & Regulations, Chapter 1 - Interpretation, Section 1.2.2 - Conformation Shows Defined & Classified Mr. Kereluke sought and received feedback from the Board of Directors on the following proposed amendment to the Conformation Show Rules & Regulations, Section 1.2.2: 1 INTERPRETATIONS 1.2 Conformation Shows Defined & Classified 1.2.2 'Limited breed show' is a show for more than three (3) one but not all recognized or listed breeds. Judging shall not proceed beyond the breed level except where a complete group is offered. Where a complete group is offered, judging may proceed to the group level. Best in Show or Best Puppy in Show awards may not be made. A club cannot offer more than 2 Limited Breed Shows in a day. A Limited Breed Show can only be offered as follows: a) For a complete CKC group (up to 5 groups within 1 event) b) For specific breeds within 1 CKC group c) For specific breeds throughout all CKC groups within a defined parameter based on the Origin within the Breed Standards. Event Officiating Committee 12.3 - Motion #47-12-14 - AGM Referral: Judges and How They are Approved to Judge Purebred Dogs with the CKC At the December 2014 meeting of the Board, the following was referred to the Event Officiating Committee: In other sports, including the NHL, NBA and figure skating, judges and officials are brought to the forefront of their respective sport from the best within their sport. So you see retired hockey players becoming commentators, etc. They are basically given credit for the years of experience that they have put into their respective sport. Our current system has applicants apply, meet the requirements, pass the test and become a judge. This works on a certain level, however it seems to reduce all applicants to the same level at the beginning of the process. It does not differentiate between one applicant who may have dedicated their life to the sport and another applicant who has just met the minimum requirements. The AKC has a similar system to the CKC's but the AKC also has a secondary system known as "recommendation for advancement" where an applicant with years of experience in purebred dogs are rewarded by being approved to judge an entire group, half of a group, several breeds or even a single breed, based on their practical knowledge and success. Some of these judges have become the most sought after judges in the world. Ms. Foley requested that the CKC consider an avenue to make this secondary system possible within the CKC. Committee Report The Committee struck an Ad-Hoc Committee to deal with the referral. The Committee would like to propose the following amendment to the Policy and Procedures Manual to include a policy on advancement of professional handlers in judging. 04-12-16 MOVED BY Ms. Bennett: "THAT, the Policy and Procedures Manual, Chapter VII, Section B be amended by adding a new section to read as follows: B. Applicant Conformation Judges ADD NEW VII. JUDGES 4. Eligibility Requirement Professional Handlers in Judging a) The applicant must submit the Application for Initial Conformation Judging Permit for Professional Handlers and supporting documentation to the CKC for review and initial approval by the Event Officiating Committee (EOC). Once the application is approved by the EOC, the supporting documentation, as required in policy, will be verified by Head Office and the applicant will be notified. If the application is not approved by the EOC, the applicant will be notified in writing with a reason. b) The applicant must have been a CKC member for the 5 years immediately preceding the application. c) The applicant must have a minimum of 25 years of documented proof of being a professional dog handler in Conformation Shows. The documentation must include a minimum of 3 different items all related to professional handling. The documentation may include, but is not limited to: (1) Business card (2) Rate sheet (3) Web page (4) Business Registration Number (5) Letters from a client (a minimum of 10) Minutes of the December 3 & 4, 2016 Meeting of the Board of Directors 5

d) The applicant must have exhibited dogs not owned by them to 150 Best In Shows. A complete list of Best In Show wins (the list must include the date of the show, the name of the club that hosted the show, the name of the dog, breed of dog, the name of the judge) must be included with the initial application for verification. e) The applicant must attend a CKC Introduction to Conformation Judging Seminar within the 3 years immediately preceding submission of the application. f) The applicant must be mentored by a Canadian Kennel Club judge who is licensed for all breeds, and who must sign the application. g) Once approved by the EOC, and all required documentation has been verified and approved, the applicant s name and breeds applied for will be published for comment. h) The applicant must successfully complete the Conformation Judges Initial Exam. i) The applicant will be required to judge a minimum of 3 Groups at 1 All Breed Sanction Match and 1 CKC approved All Breed Sweepstakes. The judging assignments must be completed within three (3) years immediately preceding the application. j) The applicant will be required to complete 20 hours of ring stewarding at Canadian Kennel Club approved conformation shows. Ring stewarding assignments at All Breed Shows must be a minimum of 3 hours. Ring stewarding at Specialty Show must be for a minimum of 1 hour. The ring stewarding must be completed within three (3) years immediately preceding the application. k) The applicant may apply for a permit for one (1) or more breeds in the same group up to one full group on the initial application. Additional permits must be for half of a group until the applicant is licensed to judge four complete groups at which point the applicant may apply for full groups." Motion lost on a recorded vote In favour: Mr. Paquette Against: Mr. Reid, Mme St-Hilaire, Mr. Kereluke, Ms. Derrick, Mr. Lopaschuk, Mr. Oslach, Mr. Laventhall-Wolfish, Mr. Gilmour and Ms. Bennett Abstained: Ms. Barker 12.4 - New Section, Policy and Procedures Manual - Observer Program 05-12-16 MOVED BY Ms. Bennett: "THAT, the Policy and Procedures Manual Chapter VII - Judges, Section B - Applicant Conformation Judges be amended effective July 1, 2017, by adding a new Section 10 to read as follows: B. Applicant Conformation Judges VII. JUDGES ADD NEW 10. Observer Program a) Purpose The Observer Program has been developed in an effort to maintain the integrity and high standards expected of CKC Conformation Judges. It will ensure consistency for judges as well as exhibitors. If at any time there is a breach of confidentiality it will mean automatic release from the program. b) Observer Process The Canadian Kennel Club will approve 6 Area Coordinators to be responsible for Conformation Judge Observations. The areas will include: 1) Atlantic Region including NL & Labrador (Zones 1 & 2) 2) Quebec and Eastern Ontario (Zones 3 & 5) 3) Central and Western Ontario (Zones 6 & 7) 4) Northern Ontario (Zone 4) 5) Prairie Provinces (Zones 8, 9, & 10) 6) British Columbia (Zones 11 & 12) c) Procedure for Obtaining Area Coordinators & Observers 1) The CKC will publish a request for volunteers to be Conformation Judge Area Coordinators and Observers. 2) Interested individuals will be required to submit a resume to Head Office; the pertinent Directors in each area/zone will be consulted. The resumes will be evaluated by Head Office and the Event Officiating Committee. 3) Area Coordinators and Observers will be selected from the volunteers. 4) The names of the selected Area Coordinators and observers will be published. 5) The number of observers required in each area/zone will be determined in consultation between Head Office, the Coordinator, and the Director for the zone. d) The Observers Observer Selection Criteria: 1) CKC All Breed Conformation Judges (All Breed Judges will be given credit towards the 5 year education program). 2) CKC judges licensed to judge 3 or more complete groups (Judges to be given credit towards the 5 year education program). 3) CKC members with 10 years or more of current exhibiting and breeding experience, and a minimum of 5 years experience as either a Ring Steward, a Show Secretary, a Show Superintendent, or Show Chair. In addition to the above, all observers must be known for their honesty and integrity. e) Training 1) Training for the Area Coordinators will be in 2 stages: (a) Preliminary Discussions (prior to training). i) Telephone Conference Call. ii) Conference via video (i.e., such as Skype or other possibilities). (b) Training i) Face to face (at CKC Head Office or designated venue). 2) Area Coordinators will be responsible for the training of the volunteer observers in their respective areas/zones. 3) Area Coordinators will be required to meet with the observers in their areas at least once per calendar year. These meetings are to take place via conference call or other electronic means, unless it can be coordinated so that everyone can meet in person if they are all in attendance at the same dog show. f) General The Area Coordinators and Observers shall hold their approved volunteer positions for a term of 3 calendar years. Area Coordinators and/or Observers may resign from their approved volunteer positions by providing written notification to Head Office. The approval to be an Area Coordinator or Observer for The Canadian Kennel Club is a privilege granted by Head Office. (2) The judging assignments for the sanction matches, and sweepstakes, futurities and maturities must include the breeds for which the applicant will be submitting has submitted his permit application and must have been held under Canadian Kennel Club rules. 10. EXECUTIVE DIRECTOR'S REPORT 10.2-2017 Business Plan Mr. Novak presented the 2017 Business Plan. It included the key assumptions and risks in the current environment and the priorities for 2017. The tactics for 2017 support strategic initiatives to strengthen the CKC brand and grow the business. At the same time, they are paced to maintain momentum for the IT4YOU Project. Received as information 10.3-2017 Budget The Board was presented with a draft budget that determined what amount is required to fulfill the needs of each line item. They reviewed how each budget line item was calculated, asked questions and were given detailed explanations on the reasoning behind every significant item. During the discussion, Mr. Botterill confirmed that the Audit Committee and the Auditor recommended an eight (8) year depreciation schedule for the capital expenses of the IT4YOU Project.
