We all saw a great deal of potential but in the end, too many obstacles stood in the way of making it a new home for NOCI. While we will continue to look for a new home, it is looking like we will not be making that move until April of next year. While moving is a distraction, we continue to improve our programs through careful consideration of how to make training more rewarding for both ourselves and our dogs. We are well underway in collecting payments for the new session by the end of week 6 of the current session. This is being done so that we don t have people who say they are coming back for next session but never tell us their plans have changed. A huge thank you to our Agility team (Patti, Cheryl, Ken, Katie and a host of others) for another well run agility trial. Planning is well under way for next year. Also, another huge thank you to Karen Haberkorn for 5 years of leadership making our Fun Matches a great success! General Meeting Minutes 4-20-18 The meeting was called to order at 7:34 PM. Ed moved to accept the February minutes; Heide seconded. President: Jim is going to talk quite a bit since lots will change. If you have a question ask some please rather than spread gossip. Jim then introduced himself, followed by the remainder of the board who also introduced themselves. Vice President: None. Treasurer: reported financial details. Then discussed the new Pre-Payment policy for all classes effective Session 4 in July 2018. Also explained the information on our website. Discussion ensued. Marianne responded to all questions. DOT: Chris reviewed the AKC Obedience rules workshop addressing the new rules, and advised the membership to ask their instructors if they have any questions. CPR seminar has helped instructors; considering offering another CPR seminar. Sad note: Jessica Frost is moving out of state. Chris thanked her for all her support and dedication. Class sign-ups will a week earlier. CGC/Trick Dog evaluations: 6/2/2018. New AKC Obedience rules available for purchase @ $5 each. DOAT: new equipment arrived! Will be selling the old equipment. Silent auction. Staring bids are published on the sign-up sheets on the table. Class are doing well. We have an extensive wait list for classes! Potential new Foundation class coming soon on Sundays @ 6 pm. Stay tuned. DON: classes are full and we have a long wait list for beginners. No one leaves. All approved. Welcome! J Committee Reports: Agility Trials 5/4, 5/5, & 5/6/18: Cheryl advised we are full! Car-Dun-Al has been booked for 2019. Cynosport Rally 6/23: premiums out. Run-throughs will be held on 5/20 @ 3 pm. UKC Obedience & Rally trials: 7/28 (Obedience) & 7/29/18 (Rally). If your dog is already registered with AKC it is easy to register with UKC.

Fun Matches: Marianne explained to new members that this is usually held the 1st Friday of each month, and it The Contact Zone is an opportunity to train/practice ring procedure in an obedience environment. There is a sign-up book for all volunteers. By Debbie Butt Service Credits: up to date. Jim explained that service credits are earned by providing service to the club and is a means of reciprocating your support of the club. Two (2) service credits earned = $25 value which can be applied towards the cost of your next class. Building update: the building search committee consisted of Jim Doescher, Barb Novak, Shari Hoffman, Ed Barys, Chris Wagner and Aline Denges. Jim advised the membership that our current building was sold to the Christian Youth Center, located next to us. There is good and bad news that we have a lease until April 2019. The Youth Center would prefer us to be out this summer, i.e., by or before 8/1/218, or we will be here until April 2019. Jim explained that the committee has looked at several options. Potential site the building is for sale. It is located in Cary and we d be the only tenant are pluses. However, the bank owns it and wants to sell it, not lease i This potential site has two options: 1. We buy it. Another bank (not our current bank) is willing to give us a mortgage and extend a line of credit for emergency use. 2. An investor who is interested as purchasing the property (and remain an investor) will buy it and we lease it back from this investor. We do not have any solid numbers yet. The potential property is estimated at $6.40/square foot. The size is just under 13,000 square feet. As a comparison our current building is 10,300 square feet and we are paying $5656 per month. The potential site has a 90 x 130 main room with restrooms, sinks, some storage, and a side room. The auction of the equipment has taken place and clean-up is still in progress. The address is: 160 Chicago Ave. in Cary. It is a bonus for us to remain in Cary as we have a good relationship. By comparison, current rent in the area is going for around $8/square foot elsewhere. Either way we are looking at an approximate rent increase of close to $2000/month. The bank owns this property so they just want to sell it and not lease it. $615,000 is the current sale price. NO air conditioning. Has 1 and 1/3 acres. Back third of property has trees, but empty, and offer potential for an expanded parking lot. Current parking has 20 spots. City water and sewer. Taxes at $2 per square foot. As a not-for-profit organization we re eligible for a tax rebate. 20% down payment is approximately $120,000. Jim added that when we were searching for buildings 5-6 years ago, there are notably less options now compared to then. There is potential building expansion options. There are lots of future possibilities.

General Meeting Minutes (cont d) 4-20-18 There is a grassy area in the front and next door. A Special Meeting may be called over the next 3-4 weeks. Stay tuned! Incentive from current landlord for us to move out early per above, by or before 8/1/2018, is they d return our security deposit and offered 2 months rent as financial incentive. They also volunteered 2 helpers for 7.5 hours to help us move. We can leave the flooring as is. No need to pull it up. Jim discussed this with the new landlord. We will however retain/take with us some of the flooring from the agility side. We d have one room for classes in the new potential site. Barn Hunt trial in August may be impacted if we move. Buying vs. Leasing: there are pros and cons. Discussion ensued. Does not have a flat roof. Has windows and sky lights. Assume we d need to install new lighting. There are 3 metal posts down the middle. Big overhead doors in back. Not very well insulated. Heating and air conditioning can be expensive. It was noted that we are a 501C-7 Not-for-Profit Social Club. Membership: 230 renewed; 14 still pending. Plus 15 new members tonight. The roster will be coming soon. Class price increase.: Jim asked all to consider an increase to class prices sooner rather than later. A better recommendation will be provided at the June general meeting. We are targeting this to be effective in Session 5. We will vote on the increase at the June meeting, to be effective in August. It was noted that the last increase to classes took place in 2012 and that in 2015 class sessions were changed from 8 weeks to 7 weeks. Misc.: the flooring will be delivered on Monday 4/23, and we will store it in the training hall for now. Gary N. moved to adjourn the meeting; Katie seconded. The meeting was adjourned at 8:56 PM. Respectfully submitted, Amber Perri, Secretary Special Meeting Minutes 5-19-18 The purpose of this meeting is to view the property located at 160 Chicago St. in Cary from 6:00 to 6:45 pm prior to the special meeting and then to update the membership on our search for a new location for our training hall, and obtain the membership s feedback and vote to proceed pursuing this property. The special meeting was called to order at 7:08 PM. Jim thanked all for attending on a Saturday evening. Summary: Vast number of variables. Nothing is a done deal. There s another offer on the building. Is 160 Chicago St. a possible home for us? If it is, what options do we have? Our current new landlord (Christian Youth Center next door to us now) would like us out by 8/1/18 based on their school year. If 160 doesn t work then we will wait until April 2019 when our lease ends. 160 is the only option right now. The Christian Youth Center will kick back 2 months rent to us if we leave by 8/1/18. 160 is 12,800 square feet vs. 10,300 what we have now. It is a stand-alone building which is a plus. Limited parking is an issued. The development does not allow street parking. We do not know if we can use any of the neighbor s parking lots. Discussed the trees in the back area can be cleared and potentially offer additional parking in the future. Building condition: no insulation, sky lights concern, leaky roof. All issues can be repaired.

The Christian Youth Center doesn t care about the current floor, whether we take it or leave it. The Contact Zone The Christian Youth Center did not provide any financial offer for us to leave the flooring, nor did we discuss it. Most warehouses do not have air conditioning so By we Debbie would need Butt to install this. Can we pick up from here and offer same/similar classes as we do now? Is it a viable option for us? Discussion ensued. This building is still owned by a landlord, not the bank. The landlord is willing to do repairs, compared to a bank that would sell as is. Current owner/landlord wants to sell not lease. Tim commented that it offers a lot of opportunity for us compared to here. Jim added that we will need a group of people willing to take on other roles such as making phone calls to get bids for work from trades people etc., we do not have to do all the work ourselves. Sherlynn commented the parking is atrocious; we cannot make a decision without any details regarding all costs involved. Jim responded that the roof repairs, painting, and carpeting the owner is willing to fix. We don t know yet if we can get a permit to put a parking lot in the back where the trees are. We will need A/C and the roof needs to be repaired. Repairs are negotiable to the building price with the owner. Asking price is $615,000. Our current building location just sold for $735,000. We ve looked at several options where we ve been rejected due to no dogs. Leasing averages $8/sq. ft. We are currently paying approximately $6.60 sq. ft. Leasing rates per sq. ft. factor in insurance and costs for common area maintenance. There is an investor willing to buy this building and lease it back to us. Approximately $7700-$7900 rent initially with a potential 3% / year increase. We would want a minimum 10-year lease. We would be responsible for outside maintenance. The investor would be responsible for above discussed repairs. $600,000 price with $120,000 down payment = approximately $7100/month to buy (includes taxes, insurance.) We would need approximately $50,000 for A/C, and need to factor in snow plowing, landscaping. Repairs may deplete our savings. We were approved for a loan by West Suburban Bank. In addition, the bank would grant us an equipment loan ($50,000) and Line of Credit ($25,000.) Gary C. stated that a budget of $8,000 per month is realistic. He feels optimistic, this location has potential. Discussed that we can target A/C for 2019, and have the owner repair the roof now. Stagger repairs and improvements. This is a good opportunity for this club as we re in a growth mode. Tax benefits? Maybe. We can apply for an exemption for some taxes, but no guarantee. Discussed if we default on the loan we would go bankrupt, and/or will need to sell the building. Ideally this will be an investment for us and provide equity.

Special Meeting Minutes (cont d) 5-19-18 This is a volunteer club. We ve spruced up our current place quite a bit over the years. It wasn t this way when we first moved in. Many of the improvements can be done in phases. Discussed that we would get multiple building inspections, including multiple roof inspections. Taxes in this area are approximately $2 per sq. ft. = $24,000 per year. Taxes, cost of insurance, and maintenance need to be factored in. The letter of intent doesn t commit us, it only allows us to negotiate with the owner. Could we move there? Does the membership want to move there? Discussion ensued. Parking for classes is okay, but we would need to secure parking elsewhere for trials. There were more choices 5-6 years ago compared to today. We may lose some people wherever we go. We will need to increase class prices regardless. Inquiry made to get the board s perspective? Marianne prefers to rent. Silvia recommends pursuing the letter of intent to get more details to make a decision. Amber agreed with Silvia and needs more information to make a decision. Dana would like to know the costs of improvements/repairs and agrees with multiple inspections. This location has potential and Cary loves us so would be good to stay in Cary. Car-Dun-Al s updates were gradual, done over a 5-7-year span. Chris expressed concern about buying a building however the letter of intent allows us to get questions answered. Inspections run about $1200. Barb moved to proceed with a letter of intent and authorize the board to have conversations with the bordering buildings; Tim seconded. All in favor for letter of intent? 1 Against; remaining attendees all voted yes/for proceeding. The vote was conducted by a raise of hands. All agreed we did not need to use a paper ballot. Discussed should we continue looking? The Christian Youth Center wants to know by the end of the month what our plans are. Discussed if the letter of intent includes a bid? Discussion ensued. Stay tuned on details received from letter of intent. The membership will be informed as it becomes available. Silvia moved to adjourn the meeting; Marianne seconded.
